    These Terms and Conditions (“Agreement”) govern the use of services provided by LogoBait Digital Agency (“LogoBait”, “we”, “our”, or “us”). By engaging our services, you (“Client”, “you”, or “your”) agree to be bound by this Agreement. Please read these terms carefully.

  2. Services

    LogoBait provides various digital services, including but not limited to logo design, branding, website development, digital marketing, and content creation. Details of the specific services will be outlined in the project proposal or contract.

  3. Client Responsibilities

    The Client agrees to provide LogoBait with all necessary information, materials, and access required to complete the project. Delays caused by the Client’s failure to fulfill these responsibilities may result in project timeline extensions.

  4. Payment and Fees

    a. The Client agrees to pay LogoBait the agreed-upon fees for services rendered. Payment terms will be specified in the project proposal or contract.

    b. Invoices must be settled in accordance with the payment terms. Failure to do so may result in project suspension or termination.

  5. Intellectual Property

    a. Upon full payment, LogoBait grants the Client exclusive rights to use the final deliverables created for the project.

    b. LogoBait retains the right to display the project in its portfolio and marketing materials.

  6. Revisions and Edits

    a. The Client is entitled to a specified number of revisions as outlined in the project proposal. Additional revisions may incur extra charges.

    b. Major scope changes or revisions outside the agreed-upon project scope may necessitate a revised project timeline and cost estimate.

  7. Cancellation and Termination

    a. Either party may terminate the project with written notice. LogoBait reserves the right to bill the Client for work completed up until the termination date.

    b. If the Client chooses to cancel the project after work has commenced, a cancellation fee may apply, as outlined in the project proposal or contract.

  8. Confidentiality

    Both parties agree to treat all project-related information as confidential and will not disclose any sensitive information without prior consent.

  9. Disclaimer of Warranties

    LogoBait provides services “as is” without any warranty, expressed or implied. We do not guarantee specific outcomes or results.

  10. Limitation of Liability

LogoBait shall not be liable for any consequential, indirect, or incidental damages arising out of or related to our services.

  1. Indemnification

The Client agrees to indemnify and hold LogoBait harmless from any claims, losses, or damages resulting from the Client’s use of our services.

  1. Force Majeure

LogoBait shall not be held liable for any failure or delay in performing services due to circumstances beyond our control.

  1. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any disputes arising from this Agreement will be subject to the exclusive jurisdiction of the courts in [Jurisdiction].

  1. Refund Policy

a. Initial Deposit: The Client may request a refund of their initial deposit before work commences, subject to a non-refundable administrative fee to cover project setup and consultation.

b. Work in Progress: If the Client is unsatisfied with the work in progress, they may request a refund of any unearned fees. This will be assessed on a case-by-case basis and may be subject to a prorated deduction for work completed.

c. Final Deliverables: Once final deliverables have been approved and delivered, refunds will not be issued.

  1. Amendments

LogoBait reserves the right to update or modify these terms and conditions at any time. Clients will be notified of any changes.

  1. Entire Agreement

This Agreement constitutes the entire understanding between LogoBait and the Client and supersedes all prior agreements or understandings, whether oral or written.

By engaging LogoBait’s services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions.
